We make various services available on this site including, but not limited to, information about ATP products and services, and other like services. You are responsible for providing, at your own expense, all equipment necessary to use the services, including a computer, modem, and Internet access (including payment of all fees associated with such access).
Registration Data and Privacy
In order to access some of the services on this site, you will be required to use an account and password that can be obtained by completing our online registration form, which requests certain information and data (“Registration Data”), and maintaining and updating your Registration Data as required. By registering, you agree that all information provided in the Registration Data is true and accurate and that you will maintain and update this information as required in order to keep it current, complete, and accurate.
Conduct on Site
Your use of the site is subject to all applicable laws and regulations, and you are solely responsible for the substance of your communications through the site. By posting information in or otherwise using any communications service, chat room, message board, newsgroup, software library, or other interactive service that may be available to you on or through this site, you agree that you will not upload, share, post, or otherwise distribute or facilitate distribution of any content — including text, communications, software, images, sounds, data, or other information — that:

- contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party; or
- impersonates any person or entity, including any of our employees or representatives.
In addition, you may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server. Not all areas of the site may be available to you or other authorized users of the site. You shall not interfere with anyone else’s use and enjoyment of the site or other similar services. Users who violate systems or network security may incur criminal or civil liability.
You agree that we may at any time, and at our sole discretion, terminate your membership, account, or other affiliation with our site without prior notice to you for violating any of the above provisions. In addition, you acknowledge that we will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.

This site may link you to other sites on the Internet or otherwise include references to information, documents, software, materials and/or services provided by other parties. These sites may contain information or material that some people may find inappropriate or offensive. Unauthorized Use of Materials
Please do not submit confidential or proprietary information to us unless we have mutually agreed in writing otherwise. We are also unable to accept your unsolicited ideas or proposals, so please do not submit them to us in any circumstance.
Copyright Infringement and DMCA Policy
As ATP asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by ATP violates your copyright, you are encouraged to notify ATP in accordance with this Copyright Infringement and DMCA Policy (“DMCA Policy“).
1.1. Termination of Repeat Infringer Accounts
ATP respects the intellectual property rights of others, and requires that users do the same. Pursuant to 17 U.S.C. § 512(i) of the United States Copyright Act, ATP will terminate a user’s access to and use of the Website if, under appropriate circumstances, it determines that the user is a repeat infringer of the copyrights or other intellectual property rights of ATP or others. ATP may terminate access for participants or users who are found repeatedly to provide or post protected third party content without necessary rights and permissions.
1.2. DMCA Take-Down Notices
If you are a copyright owner or an agent thereof and believe, in good faith, that any materials provided on the Service infringe upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (see 17 U.S.C § 512) (“DMCA“) by sending the following information in writing to ATP’s designated copyright agent at ATP DMCA Agent, ComputerLaw Group LLP, 401 Florence Street, Palo Alto, CA 94301:
- The date of your notification;
- A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the copyright owner
- A description of the copyrighted work claimed to have been infringed;
- A description of the material that is claimed to be infringing and exact location of the content you claim is infringing, in sufficient detail to enable ATP to locate and identify that content;
- Your name, address, telephone number, and email address;
- A statement that you: (a) that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; (b) that all the information in the notification is accurate; and (c), under penalty of perjury, that you are either the copyright owner or a person authorized to act on behalf of the copyright owner.
If ATP takes action in response to an Infringement Notice, it will make a good faith attempt to contact the party that made such content available by means of the most recent email address, if any, provided by such party to ATP. Your DMCA Take-Down Notice may be forwarded to the party that made the content available, or to third parties such as ChillingEffects.org.
If you believe that your User Content that has been removed from the Site is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to post and use the content in your User Content, you may send a counter-notice containing the following information to ATP’s copyright agent using the contact information set forth above:
- Your name, address, telephone number, email address, and physical or electronic signature;
- A description of the content that has been removed and the location at which the content appeared before it was removed;
- A statement, under penalty of perjury, that you have a good faith belief that the content was removed as a result of mistake or a misidentification of the content; and
- A statement that you consent to the jurisdiction of the United States Federal District Court for the judicial district in which you are located (or if you are outside the U.S., the S. DistrictCourt for the Northern District of California), and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
If ATP’s copyright agent receives a counter-notice, ATP may send a copy of the counter-notice to the original complaining party informing such person that it may reinstate the removed content in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content will be reinstated on the Website in 10 to 14 business days after receipt of the counter-notice.

Governing Law and Arbitration
This site (excluding any linked sites) is controlled by us from our offices within California, United States of America. It can be accessed from all 50 states, as well as from other countries around the world. As each of these places has laws that may differ from those of California, by accessing this site both of us agree that the statutes and laws of the State of California, without regard to the conflicts of laws principles thereof and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this site and the purchase of products and services available through this site. Each of us agrees and hereby submits to the exclusive personal jurisdiction and venue any court of competent jurisdiction within the State of California with respect to such matters.
Any dispute, claim or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the State of California, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules & Procedures (Comprehensive Arbitration Rules & Procedures). Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The arbitrator may, in the Award, allocate all or part of the costs of the arbitration, including the fees of the arbitrator and the reasonable attorneys’ fees of the prevailing party.
All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You agree that, by entering into this agreement, you and ATP are each waiving the right to a trial by jury or to participate in a class action.
All notices to a party shall be in writing and shall be made either via email or conventional mail. Notices to us must be sent to the attention of Customer Service at firstname.lastname@example.org, if by email, or at ATP, 101 South Hill Drive, Brisbane, CA 94005 if by conventional mail. Notices to you may be sent to the address supplied by you as part of your Registration Data. In addition, we may broadcast notices or messages through the site to inform you of changes to the site or other matters of importance, and such broadcasts shall constitute notice to you at the time of sending.
You agree not to sell, resell, reproduce, duplicate, copy or use for any commercial purposes any portion of this site, or use of or access to this site.
In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of products and services available through our site arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.
